In this two-day program, they will demonstrate the Business Docx® LLC Operating Agreement and will cover:

  • Important considerations regarding the choice of entity
  • The selection of the state of formation for an LLC, taking a close look at key differences among the LLC Acts of many popular LLC formation states 
  • A comparison of the Uniform Limited Liability Company Act versus the Uniform Limited Liability Company Act, highlighting important default rules that will govern the LLC in the absence of an overriding provision in the operating agreement
  • The asset protection provided by LLCs and special considerations regarding single-member LLCs and series LLCs
  • Steps for forming an LLC
  • Governance of the LLC, including (i) consideration of member-managed vs. manager-managed LLCs, (ii) fiduciary obligations, (iii) agency authority, and (iv) case law illustrating best practices for LLC operation and governance
  • Federal tax classification options for LLCs, examining the pros and cons of each option as well as restrictions and requirements for changing an LLC’s tax classification
  • Advanced topics in LLCs, including capital accounts, profits interests, distribution provisions (operating, liquidating, and distribution "waterfalls"), and allocation provisions (traditional vs. targeted allocations)
