This course will cover drafting of limited liability companies (LLCs) taxable as subchapter S corporations (S-corps).  This is an important service to provide to clients because an overwhelming majority of new small businesses are taxed as S-corporations, and most of those entities are formed as LLCs.  Creating LLCs taxed as subchapter S-corps provides many benefits.  First, LLCs generally offer better asset protection than state-law corporations, and S-corps may provide employment tax savings not otherwise available to disregarded entities or sole proprietorships.  In addition to learning about the advantages of S-corps, attendees will also learn about possible abuses and limitations of these types of entities and how to combine these entities with partnerships for optimal tax efficiency and asset protection.
